Terms of Service
Please read these Terms carefully before accessing or using the GoKoach Platform or any of the Services offered through it.

1.Your Agreement
1.1.
This website www.gokoach.com and the GoKoach mobile application (together, the “GoKoach Platform”) are operated by GOKOACH HOLDINGS PTE. LTD.(UEN: 202624987C), a company incorporated in Singapore (together with its related companies, “GoKoach,” “we,” “us,” or “our”).
1.2.
Please read these terms of use (these “Terms”) carefully before accessing or using the GoKoach Platform or any services offered, enabled, or made available through the GoKoach Platform (the “Services”). These Terms form a legally binding agreement between you and GoKoach.
1.3.
“You” and “your” include (a) any person who accesses or uses the GoKoach Platform, and (b) any person for whom you book or purchase Services.
1.4.
By accessing or using the GoKoach Platform or the Services, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference, including the Privacy Policy.
1.5.
If you do not agree to these Terms, you must not access or use the GoKoach Platform or the Services.
2.Changes to These Terms
2.1.
GoKoach’s modifications.We may change or modify any part of these Terms at any time, at our sole discretion, without prior notice, to the extent permitted by applicable law. We will post the revised Terms on the GoKoach Platform and update the “Last updated” date.
2.2.
Your continued use. Your continued access to or use of the GoKoach Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the GoKoach Platform and the Services.
2.3.
Additional terms. When you use certain Services, you may be subject to additional terms applicable to those Services (including Coach-specific terms, booking conditions, refund/cancellation rules, and content or community guidelines) as may be posted on the relevant page from time to time. All such terms are incorporated by reference into these Terms.
3.Nature of the Platform
3.1.
GoKoach is a technology marketplace that connects:
(a)
individuals seeking coaching (Client); and
(b)
independent third-party coaches and other service providers (Coach).
3.2.
GoKoach is not the provider or responsible for the delivery of any of the Services. Except where expressly stated otherwise on the GoKoach Platform or in a booking confirmation, GoKoach:
(a)
does not provide coaching services;
(b)
is not a party to any agreement for coaching services between you and a Coach; and
(c)
does not guarantee any outcomes, results, or performance.
3.3.
Coach responsibility. Coaching and related services are provided directly by Coaches. Coaches are responsible for:
(a)
the Services they provide;
(b)
any content, advice, or materials they supply; and
(c)
compliance with laws, licensing, and professional obligations applicable to the delivery of such Services.
3.4.
No endorsement. Listing a Coach or service on the GoKoach Platform does not constitute endorsement, certification, or guarantee by GoKoach for the completeness, utility or correct application of the Services will lead to any outcome or result advertised.
4.Access and Use of the Services
4.1.
Ownership. The GoKoach Platform (including its domain name, subdomains, features, design, text, graphics, logos, interfaces, audio, video, code, and compilations of the foregoing) is owned by or licensed to GoKoach and is protected by intellectual property laws.
4.2.
License to use. Subject to these Terms, GoKoach grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the GoKoach Platform solely for your personal, non-commercial use of the Services. Such grant may be revoked at any time without notice under these terms and conditions herein.
4.3.
Availability and changes. GoKoach may change, suspend, or discontinue any part of the GoKoach Platform or the Services at any time (including the availability of any feature, database, or content) without notice and without liability to the fullest extent permitted by law.
4.4.
No guarantee of uninterrupted service. We do not guarantee that the GoKoach Platform or the Services will always be available, uninterrupted, secure, or error-free. You are responsible for making all arrangements necessary for you to access the GoKoach Platform.
4.5.
Links and third-party services. The GoKoach Platform may contain links to third-party websites or services (Third-Party Services). GoKoach does not control and is not responsible for Third-Party Services. Your use of Third-Party Services is at your own risk and may be subject to separate terms.
5.Eligibility and Account Registration
5.1.
Eligibility. You must:
(a)
be at least 18 years old, or have valid parental/guardian consent; and
(b)
have the legal capacity to enter into these Terms.
5.2.
Account registration. You need to create an account to access certain Services. You agree to provide accurate, current, and complete information and to keep it updated.
5.3.
Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You must promptly notify us of any suspected unauthorized use.
5.4.
Account actions. We may refuse registration, suspend, restrict, or terminate an account at our sole discretion where we reasonably believe there is misuse, fraud, security risk, or breach of these Terms.
6.User Conduct and Prohibited Activities
6.1.
You agree not to (and not to assist or enable others to):
(a)
misuse the GoKoach Platform or the Services;
(b)
harass, abuse, stalk, intimidate, threaten, or harm others;
(c)
circumvent the GoKoach Platform to transact externally with a Coach for the purpose of avoiding platform fees, or bypassing the GoKoach Platform;
(d)
upload, post, transmit, or otherwise make available any content that is unlawful, harmful, misleading, infringing, defamatory, obscene, pornographic, hateful, or otherwise objectionable;
(e)
post content that is not your own or that may infringe any intellectual property rights of others;
(f)
create, promote or otherwise share content that is offensive, inappropriate, graphic, or hateful, including content targeting protected characteristics;
(g)
attempt to gain or allow others any unauthorized access to information, systems, accounts, data, or networks owned or managed by GoKoach or supported by the Platform;
(h)
scrape, crawl, copy, reverse engineer, decompile, or otherwise extract data or code from the GoKoach Platform by manual or automated means; or
(i)
use the GoKoach Platform for any unlawful, immoral, prohibited or unauthorized purposes.
6.2.
Content restrictions (uploads). Where the GoKoach Platform permits you to submit content, you must ensure that your content does not include:
(a)
content that could reasonably be perceived as vulgar, pornographic, illegal, hateful, or offensive;
(b)
content that is defamatory, untruthful, deceptive, or misleading;
(c)
content that infringes third-party rights; or
(d)
any third-party personal data where you do or do not have the right to disclose it.
6.3.
Enforcement. GoKoach may, in its sole discretion, remove content, suspend features, restrict access, cancel bookings, or terminate accounts for violations of this clause or these Terms.
7.Reviews and User Submissions
7.1.
User submissions. You may submit reviews, feedback, messages, images, or other content (User Submissions). You remain responsible for your User Submissions.
7.2.
License grant. By submitting User Submissions, you grant GoKoach and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, publicly display, and distribute those User Submissions in connection with operating, improving, and marketing the GoKoach Platform and the Services.
7.3.
Waiver of moral rights. To the maximum extent permitted by law, you waive (and agree not to assert) any moral rights or similar rights in your User Submissions.
7.4.
Editorial control. GoKoach may edit (for clarity), remove or refuse to display any User Submissions at any time for any reason.
8.Booking, Payment and Refund Policy
8.1.
Booking confirmation. When you submit a booking request for a coaching service, you make an offer to book the specified service. Your booking becomes a confirmed booking (Confirmed Booking) only when accepted by the Coach and communicated to you (including by a confirmation email, app notification, or other confirmation message).
8.2.
Ticket types and validity. Unless otherwise stated on the relevant listing or at checkout, sessions may be sold as flexible or open tickets, allowing scheduling within a specified validity period. Please ensure that the mode of booking is acceptable when confirming your Session.
8.3.
Refunds and expiry. Unless explicitly stated otherwise by the Coach or required by applicable law, GoKoach reserves the right, but is not obligated, to issue refunds, credits, or take no action at its sole discretion. You agree always that:
(a)
bookings are non-refundable; and
(b)
failure to schedule or use a session within its validity period may result in expiry without refund.
8.4.
Your responsibility. You are responsible for reviewing the applicable cancellation, refund, rescheduling, validity, and no-show terms before purchase.
8.5.
Payment authorization. You authorize GoKoach (or its payment processors) to charge or debit your chosen payment method for the full booking amount when you submit your booking request, or at such other time as disclosed at checkout (including for any pay-later arrangements).
8.6.
Failed payments. We may cancel a booking request or Confirmed Booking if full payment is not received in a timely manner, including where your payment method cannot be charged.
8.7.
Taxes and fees. Prices shall be stated with applicable taxes and fees as indicated at checkout. You are responsible for any bank or card issuer fees (including international transaction fees).
8.8.
Disputes.For any claims, you may wish to refer to GoKoach’s Disputes Resolution Policy, which may be updated from time to time.
9.Off-Platform Transactions (Strict Prohibition)
9.1.
You agree not to solicit, request, or engage any Coach to transact, communicate, or complete bookings outside of the GoKoach Platform for the purpose of avoiding platform fees or bypassing the GoKoach Platform. Such acts shall be a breach of these terms and may result in termination of your account and other sanctions.
9.2.
This includes (without limitation):
(a)
requesting direct, indirect or deferred payment arrangements;
(b)
sharing personal contact details (including but not limited to phone numbers, email addresses, or social media handles) with the intent to transact externally;
(c)
moving bookings to private channels (through direct contact or any other messaging platforms);
(d)
using the Platform to connect with a Coach and subsequently completing the session or payment through third-party applications (such as PayPal, Venmo, Google Meet, or Zoom outside of Platform integration);
(e)
providing or accepting payment in cash, kind, or any form of barter that is not processed through the Platform’s payment system;
(f)
circulating or using discount codes, promotional materials, or affiliate links outside of the Platform to arrange bookings that circumvent Platform fees;
(g)
splitting a single engagement into multiple partial payments, refunds, or trial sessions with the intent of completing the full transaction off-platform;
(h)
sharing or requesting external links to scheduling tools (e.g., Calendly, Doodle) for the purpose of arranging sessions without using the Platform’s booking functionality;
(i)
exchanging account credentials, including login details for third-party video conferencing tools, to enable unmonitored sessions; or
(j)
indicating or suggesting in public or private communications (including in-person interactions initiated through the Platform) that a future transaction will occur outside the Platform to avoid applicable fees.
9.3.
Any breach of this clause may result in, at GoKoach’s sole discretion:
(a)
immediate suspension or termination of your account, including any associated accounts under the same user or entity;
(b)
forfeiture of any outstanding payments, credits, or earnings held in your account, in addition to cancellation of bookings without refund to the maximum extent permitted by law;
(c)
referral of the matter to relevant authorities where the conduct may constitute fraud, tax evasion, or violation of applicable laws; and/or
(d)
other actions, including legal action to claim damages or economic loss, where applicable, including recovery of all economic loss suffered by GoKoach, such as lost platform fees, legal costs, and third-party collection expenses.
9.4.
To enforce this clause and where permitted by law, GoKoach may monitor, retain, and rely on communications and activity on the GoKoach Platform.
10.Intellectual Property
10.1.
Platform IP. All intellectual property rights in and to the GoKoach Platform and Services (excluding User Submissions and Coach content) are owned by or licensed to GoKoach.
10.2.
Restrictions. Except as expressly permitted under these Terms, you will not copy, reproduce, modify, translate, publish, transmit, distribute, perform, display, sell, license, or otherwise exploit any part of the GoKoach Platform or its content.
10.3.
Coach content. Coaches and their licensors retain ownership of their content, subject to any licenses granted to GoKoach to operate the GoKoach Platform and provide the Services.
11.Privacy Policy
11.1.
GoKoach’s Privacy Policy (as updated from time to time) governs our collection, use, and disclosure of personal data. By using the GoKoach Platform and Services, you agree to the Privacy Policy.
11.2.
GoKoach will comply with its obligations under the Singapore Personal Data Protection Act 2012 (PDPA).
12.Disclaimers
12.1.
To the fullest extent permitted by Singapore law, the GoKoach Platform and the Services are provided on an “as is” and “as available” basis. No representations as to the fitness of any services to your personal circumstances are implied or accepted.
12.2.
Without limiting the foregoing, GoKoach makes no representations or warranties (express or implied) regarding:
(a)
description of coaching outcomes or results;
(b)
the accuracy, completeness, or reliability of Coach-provided information;
(c)
the qualifications, licensing, or suitability of any Coach (beyond any credentials expressly displayed); or
(d)
that the GoKoach Platform will be uninterrupted, timely, secure, or error-free.
12.3.
You agree and acknowledge that:
(e)
GoKoach is a neutral marketplace platform and is not responsible for the personal conduct, actions, or omissions of any Coach;
(f)
any due diligence or checks GoKoach may perform as to the services or qualifications of any Coach do not constitute endorsement, certification, or guarantee;
(g)
GoKoach is not responsible for the completeness or appropriateness of any activities conducted by the Coaches, nor is able to ensure the outcome, results or value of the activities hosted by GoKoach;
(h)
you are aware of the risks in using online platforms to book and receive delivery of services and shall act responsibly; and
(i)
you will use any Coach’s services at your own risk.
13.Limitation of Liability
13.1.
To the maximum extent permitted under Singapore law, GoKoach will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive losses, including loss of income, profits, business, or opportunities.
13.2.
To the maximum extent permitted under Singapore law, GoKoach’s total aggregate liability arising out of or relating to the GoKoach Platform, the Services, or these Terms will not exceed the total amount paid by you to GoKoach through the GoKoach Platform in the 12 months immediately preceding the event giving rise to the claim or a maximum of SGD 1,000.
13.3.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.
14.Indemnity
14.1.
To the maximum extent permitted by law, you will indemnify, defend, and hold harmless GoKoach, its affiliates, and each of their respective officers, directors, employees, contractors, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a)
your access to or use of the GoKoach Platform or the Services;
(b)
your interactions, transactions, or disputes with any Coach or other user;
(c)
your User Submissions;
(d)
your breach of these Terms or applicable law; or
(e)
your reliance on coaching advice, services, or outcomes.
14.2.
GoKoach may, at its option and expense, assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate.
15.Dispute Resolution (Platform Administration)
15.1.
Platform support role. You acknowledge that disputes regarding services are primarily between you and the relevant Coach. GoKoach may, but is not obligated to, provide tools or support to facilitate communication or resolution.
15.2.
GoKoach actions. GoKoach may investigate platform-related complaints (including off-platform circumvention, fraud, and Terms breaches) and may take actions it reasonably considers appropriate, including issuing credits, facilitating refunds where required or appropriate, or taking no action.
15.3.
GoKoach reserves, in its sole and absolute discretion, the right to investigate, determine, and resolve any dispute. All decisions made by GoKoach shall be final and binding.
15.4.
GoKoach may override Coach policies where necessary to protect platform integrity.
15.5.
No waiver of rights. Any actions taken by GoKoach under this clause do not waive any rights or remedies available to GoKoach or any party.
16.Termination
16.1.
We may suspend, restrict, or terminate your account and access to the GoKoach Platform if:
(a)
you breach these Terms;
(b)
we reasonably suspect fraud, misuse, or security risk; or
(c)
your activities are prejudicial to the GoKoach community or are otherwise unlawful.
16.2.
Upon termination, your access will cease immediately. Provisions that by their nature should survive termination will survive, including clauses relating to intellectual property, User Submissions license, disclaimers, limitation of liability, indemnity, and governing law.
17.Governing Law and Jurisdiction
17.1.
The courts of Singapore will have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them.
18.Miscellaneous
18.1.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
18.2.
Assignment.You may not assign or transfer these Terms without GoKoach’s prior written consent. GoKoach may assign, transfer, or delegate these Terms and its rights and obligations without prior notice.
18.3.
Language. These Terms are drafted in English. Any translation to other languages is for reference only. If there is any inconsistency, the English version prevails.
18.4.
Entire Agreement. These Terms (together with documents incorporated by reference) constitute the entire agreement between you and GoKoach regarding your use of the GoKoach Platform and Services.
18.5.
No waiver. Any failure by GoKoach to enforce any right or provision will not constitute a waiver.
