Terms of Service

This website www.gokoach.com and the GoKoach mobile application (together, the “GoKoach Platform”) are operated by GOKOACH HOLDINGS PTE. LTD. (UEN: 202624987C), a company incorporated in Singapore (together with its related companies, “GoKoach,” “we,” “us,” or “our”).

Please read these terms of use (these “Terms”) carefully before accessing or using the GoKoach Platform or any services offered, enabled, or made available through the GoKoach Platform (the “Services”). These Terms form a legally binding agreement between you and GoKoach.

“You” and “Your” mean any person who accesses or uses the GoKoach Platform, including a Buyer or Partner. If you make a booking, purchase or registration for or on behalf of another person, you represent that you are authorised to do so and are responsible for ensuring that person is made aware of any applicable terms, conditions and requirements relating to the relevant Partner Service.

By accessing or using the GoKoach Platform or the Services, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference, including the Privacy Policy.

If you do not agree to these Terms, you must not access or use the GoKoach Platform or the Services.

GoKoach’s modifications. We may change or modify these Terms from time to time, including GoKoach Fees, payout arrangements and other commercial or operational terms. We will post the revised Terms on the GoKoach Platform and update the “Last updated” date. Where a change is material and adversely affects users’ rights or obligations, we will provide reasonable prior notice through the GoKoach Platform, email or other reasonable means, unless the change must take effect sooner for legal, regulatory, security, fraud-prevention, payment-processing or urgent operational reasons..

Your continued use. Revised Terms take effect on the effective date stated in the updated Terms. Your continued access to or use of the GoKoach Platform after that date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the GoKoach Platform and the Services.

Additional terms. Certain Services may be subject to additional terms issued by GoKoach, including Partner-category terms, booking conditions, cancellation and refund rules, service-specific requirements, schedules, policies, content guidelines or community guidelines made available through the GoKoach Platform from time to time. Those GoKoach-issued terms are incorporated into and form part of these Terms.

A Partner may include additional terms or conditions in a listing or otherwise provide separate terms to a Buyer in connection with a Partner Service. Those terms apply solely between the Partner and Buyer. GoKoach is not a party to, and does not assume responsibility for, those terms, and they do not amend or override these Terms. Where there is any inconsistency concerning Platform administration, Bookings, payments, GoKoach Fees, refunds, disputes, verification, payouts or GoKoach’s rights under these Terms, these Terms prevail.

Marketplace. GoKoach is a technology marketplace that enables persons seeking to purchase, book, register for or otherwise access services, sessions, activities, events, experiences or other offerings (“Buyers”) to discover and transact with independent third-party providers (“Partners”).

For the purposes of these Terms, Partners may include:

The services, sessions, activities, events, experiences and other offerings provided or made available by Partners through the GoKoach Platform are referred to in these Terms as “Partner Services”.

A Partner may operate in more than one Partner category, in which case the terms applicable to the relevant Partner Service or listing will apply to that transaction. GoKoach may determine or reclassify the applicable Partner category for any listing or transaction where it considers this necessary or appropriate.

GoKoach’s role. GoKoach provides the technology, marketplace, discovery, booking, registration, ticketing, payment facilitation through third-party payment processors, delivery and attendance verification tools and related platform functionality made available through the GoKoach Platform. Except where expressly stated otherwise, GoKoach is not the provider, organiser or operator of the underlying services, activities or events offered by Partners and is not a party to the underlying service relationship between a Buyer and Partner.

Partner responsibility. Partners provide their respective Partner Services independently and are solely responsible for the Partner Services they offer and deliver, including their conduct, listings, content, information, advice, materials, performance and compliance with applicable laws, licences, permits, qualifications, professional obligations and other requirements applicable to them or their Partner Services.

No endorsement. The listing, publication, availability, review or display of any Partner or Partner Service on the GoKoach Platform does not constitute approval, endorsement, certification, verification or guarantee by GoKoach of that Partner or Partner Service, including its quality, suitability, safety, accuracy, legality, qualifications, availability or expected outcome. Any review, edit, verification or other action taken by GoKoach does not transfer responsibility for the Partner or Partner Service to GoKoach.

Ownership. The GoKoach Platform (including its domain name, subdomains, features, design, text, graphics, logos, interfaces, audio, video, code and compilations of the foregoing) is owned by or licensed to GoKoach and is protected by applicable intellectual property laws.

License to use. Subject to these Terms, GoKoach grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the GoKoach Platform solely for lawful purposes permitted by these Terms and in connection with your use of the GoKoach Platform as a Buyer, Partner or other authorised user.

Availability and changes. GoKoach may change, suspend, restrict or discontinue any part of the GoKoach Platform or the Services at any time (including the availability of any feature, functionality, database or content) without notice and without liability to the fullest extent permitted by law. Any such action does not, by itself, cancel or discharge rights or obligations arising from a Confirmed Booking made before that action, which remain subject to these Terms.

No guarantee of uninterrupted service. We do not guarantee that the GoKoach Platform or the Services will always be available, uninterrupted, secure, or error-free. You are responsible for making all arrangements necessary for you to access the GoKoach Platform.

Links and third-party services. The GoKoach Platform may contain links to third-party websites or services (Third-Party Services). GoKoach does not control and is not responsible for Third-Party Services. Your use of Third-Party Services is at your own risk and may be subject to separate terms.

Eligibility. To create an account, make a purchase or registration, or act as a Partner on the GoKoach Platform, you must:

Acting for an organization. If you create an account, make a booking or registration, or act as a Partner on behalf of a company, organisation or other legal entity, you represent and warrant that you have authority to act on behalf of and bind that entity in relation to the relevant use of the GoKoach Platform.

Account Registration. You must provide accurate, current and complete account information and keep it updated. Partners must also provide any identity, business, payment, tax or other information reasonably required by GoKoach for onboarding, compliance or payout purposes. GoKoach may rely on information in your account as current unless you update it or notify GoKoach of an error and, subject to applicable law, is not responsible for consequences arising from your failure to do so, including missed communications, booking issues, payment or payout errors or disputes.

Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You must promptly notify us of any suspected unauthorized use.

Account actions. GoKoach may refuse registration, restrict, suspend or terminate an account where it reasonably considers this appropriate, including for legal, regulatory, safety, fraud, payment, security, reputational, operational or Platform-integrity reasons, suspected misuse or breach of these Terms.

You agree not to (and not to assist or enable others to):

Content restrictions (uploads). Where the GoKoach Platform permits you to submit content, you must ensure that your content does not include:

Enforcement. GoKoach may, where it reasonably considers appropriate, remove or edit content, restrict Platform features, suspend or remove listings, cancel or restrict bookings, suspend payouts, restrict accounts or terminate access to the GoKoach Platform where these Terms or applicable policies are breached.

User Submissions. You may submit reviews, feedback, messages, images, or other content (“User Submissions”). You remain responsible for your User Submissions.

License grant. By submitting User Submissions, you grant GoKoach and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, publicly display, and distribute those User Submissions in connection with operating, improving, and marketing the GoKoach Platform and the Services.

Waiver of moral rights. To the maximum extent permitted by law, you waive (and agree not to assert) any moral rights or similar rights in your User Submissions.

Editorial control. GoKoach may edit (for clarity), remove or refuse to display any User Submissions at any time for any reason.

Booking Confirmation. A purchase, booking, order or registration for a Partner Service (collectively, a “Booking”) becomes confirmed when the applicable payment or registration requirements have been completed and GoKoach issues a confirmation through the GoKoach Platform, email or other confirmation method. A Booking that becomes confirmed in accordance with this clause is referred to as a “Confirmed Booking”.

The availability, booking method and confirmation process may vary depending on the relevant Partner Service and will be displayed on the applicable listing or at checkout

Partner Service Terms. Each Partner Service may be subject to additional booking, scheduling, validity, attendance, eligibility, cancellation, rescheduling, no-show or other conditions displayed in the relevant listing or at checkout. Those conditions apply to the relevant Buyer-Partner transaction subject always to these Terms. You are responsible for reviewing those conditions before completing a Booking.

Partner Listing Status and Availability. Partners must keep all material listing information accurate and current, including pricing, availability or capacity, schedules, dates, times, locations and eligibility requirements. Where recurring or rolling availability is enabled, it remains available for Booking until the Partner updates, pauses, suspends or removes it, and GoKoach may rely on the information displayed as current.

Partners remain responsible for all Confirmed Bookings made while their listing or availability is active. Pausing, suspending or removing a listing does not affect any prior Confirmed Booking unless GoKoach determines otherwise.

Listing Changes. A Partner is responsible for, and will be treated as having approved, the content, pricing, availability, conditions and other information that the Partner publishes, submits, updates or leaves active on a listing.

The listing and applicable conditions displayed to a Buyer at the time the Buyer completes a Booking will govern that Booking. Any subsequent amendment, replacement, suspension or removal of the listing applies prospectively and does not alter an existing Confirmed Booking unless the Buyer agrees, GoKoach determines otherwise in accordance with these Terms, or applicable law requires.

Buyer Cancellations & Refunds. Except where expressly stated otherwise in these Terms or expressly permitted by GoKoach in the applicable listing or checkout, or where required by law, confirmed Bookings are non-refundable.

GoKoach may nevertheless, at its discretion, issue a full or partial refund, credit, voucher, extension or other remedy in exceptional circumstances. The exercise of such discretion in one case does not create an entitlement or precedent for any other Booking.

Partner-Caused Non-Delivery. Where GoKoach reasonably verifies that a Confirmed Booking was not provided due to cancellation, non-attendance, overbooking or other non-delivery attributable to the Partner, GoKoach may cancel the Booking and will provide the Buyer with a refund of the amount paid for the undelivered Partner Service, subject to applicable law and any amounts properly attributable to services already provided

Payment authorization. By completing a paid Booking, you authorise GoKoach to arrange for its appointed third-party payment processor to charge your selected payment method for the amount shown at checkout, including any applicable taxes, GoKoach Fees and other disclosed charges.

Prices, GoKoach Fees and Partner Compensation. GoKoach operates a transaction-based fee model and may earn fees from Buyers, Partners or both in connection with Bookings processed through the GoKoach Platform.

Failed Payments. GoKoach may cancel or suspend a Booking, withhold or adjust any related payout, or take such other action as it considers appropriate where payment is not successfully received, cannot be charged, is reversed, disputed, subject to a chargeback or reasonably suspected to be fraudulent.

Buyer Dispute Window. Unless otherwise expressly provided in these Terms or required by applicable law, a Buyer must notify GoKoach of any alleged non-delivery or other matter for which the Buyer seeks a refund, credit or other Platform remedy within 7 days after the applicable delivery date, scheduled session, expiry of the applicable package validity period, scheduled Activity date, end of the relevant service month or Event date.

If no dispute is raised within that period, GoKoach may treat the relevant Partner Service or transaction as completed and delivered for Platform administration, payment and payout purposes, and may decline to investigate, reopen, process or facilitate any refund, credit, dispute or other remedy raised after that period. GoKoach may nevertheless consider a late matter in its discretion, and expiry of the 7-day period does not limit GoKoach’s rights to investigate, withhold, adjust, recover or set off amounts where appropriate.

Delivery Verification. Partners must use any QR code, PIN, check-in tool or other delivery-verification mechanism provided by GoKoach where applicable. GoKoach may rely on such verification and any other information reasonably available to it in determining whether a Partner Service has been delivered and whether the corresponding payout is eligible for release. Where delivery cannot be verified, or where a dispute, suspected non-delivery, fraud or other risk arises, GoKoach may withhold or delay payout until it is satisfied that the relevant Partner Service or transaction has been completed.

Partner Payouts. Amounts attributable to Partner Services may become eligible for payout only after the applicable Buyer Dispute Window has expired and GoKoach is satisfied that the applicable delivery and verification requirements have been met. Eligible Partner payouts are processed on GoKoach’s monthly payout cycle, subject to any applicable cut-off dates, deductions, holds or other requirements.

Where an amount has not cleared the applicable requirements by the relevant monthly payout cut-off, GoKoach may carry that amount forward to a subsequent payout cycle. GoKoach may delay or withhold any payout where there is a dispute, chargeback, suspected fraud, non-delivery, payment risk or other matter that GoKoach reasonably considers relevant.

Recovery & Setoff. GoKoach may recover any refund, chargeback, reversal, overpayment or other amount properly due from a Partner, including by deducting or setting off such amount against any current or future payout otherwise payable to that Partner.

Transaction Administration. GoKoach may request information or evidence from a Buyer or Partner and may determine, for Platform payment and payout purposes, whether to issue or facilitate a refund, credit, payout adjustment or other remedy. Any such action relates solely to GoKoach’s administration of the Platform transaction and does not make GoKoach responsible for the underlying Partner Service or the dispute between Buyer and Partner.

Cancelling an Event you host. If you host an Event through the GoKoach Platform and you cancel it after one or more paid tickets have been sold, you agree to pay GoKoach a cancellation fee. You agree that:

Refunds where an Event is cancelled. Where an Event is cancelled, whether by the host or by GoKoach:

Payment Through GoKoach. Where these Terms require a Booking, payment, renewal, additional paid service or other transaction to be processed through GoKoach, the GoKoach Platform must be used as the exclusive method for processing that transaction. Buyers and Partners must not circumvent or attempt to circumvent GoKoach’s booking or payment arrangements or GoKoach Fees.

Non-circumvention. You must not offer, request, solicit, accept or arrange for any transaction required under these Terms to be processed through GoKoach to instead be booked, paid for or otherwise commercially transacted outside the GoKoach Platform. This includes using cash, bank transfer, third-party payment services, external links, deferred arrangements, barter or any other method for the purpose of avoiding GoKoach Fees or GoKoach’s booking or payment requirements.

This includes (without limitation):

Permitted Off-Platform Communication and Delivery. Where permitted for the relevant Partner Service, Buyers and Partners may communicate, schedule or perform Partner Services through external channels, including email, telephone, messaging applications, video-conferencing platforms or in person. These Terms continue to apply to the relevant Booking notwithstanding that any communication or Partner Service occurs outside the GoKoach Platform. External communication or delivery must not be used to circumvent any transaction required to be processed through GoKoach.

Reporting Circumvention. You must promptly notify GoKoach if another user requests or proposes that a transaction required to be processed through GoKoach be booked, paid for or otherwise commercially transacted outside the GoKoach Platform.

Platform Protection. GoKoach does not administer, supervise or assume responsibility for communications or delivery occurring through third-party or external channels. Transactions that are not required to be processed through GoKoach, including genuinely separate and unrelated future transactions, fall outside GoKoach’s Platform payment, verification, dispute and refund protections.

Any breach of this clause may result in, at GoKoach’s sole discretion:

To enforce this clause and where permitted by law, GoKoach may monitor, retain, and rely on communications and activity on the GoKoach Platform.

Platform IP. All intellectual property rights in and to the GoKoach Platform and Services (excluding User Submissions and Partner Content) are owned by or licensed to GoKoach.

Restrictions. Except as expressly permitted under these Terms, you will not copy, reproduce, modify, translate, publish, transmit, distribute, perform, display, sell, license, or otherwise exploit any part of the GoKoach Platform or its content.

Partner content. Partners and their licensors retain ownership of content they provide or make available through the GoKoach Platform (“Partner Content”), subject to clause 7.2 and any other licences granted to GoKoach to operate, improve and promote the GoKoach Platform and Services. Each Partner represents and warrants that it owns, or has all necessary rights, licences and permissions to use and make available, its Partner Content and that such use does not infringe the rights of any third party.

Partner Services Deliverables. Any intellectual property rights in materials, work product or other deliverables created or provided by a Partner in connection with a Partner Service are a matter between the Buyer and the relevant Partner and will be governed by any applicable listing terms or separate agreement between them. GoKoach does not acquire ownership of such deliverables merely by facilitating the Partner Service and is not responsible for determining or enforcing any intellectual property rights between the Buyer and Partner.

GoKoach’s Privacy Policy (as updated from time to time) governs our collection, use, and disclosure of personal data. By using the GoKoach Platform and Services, you agree to the Privacy Policy.

Sharing with Partners. In connection with a Booking or Partner Service, GoKoach may disclose relevant personal data, including contact, booking and attendance information, to the applicable Partner and third-party service providers where reasonably necessary to facilitate, administer or support the Booking, Partner Service, payment, attendance, communication or related Platform functions.

Partner Responsibility. Partners are responsible for their own collection, use, storage and disclosure of personal data received in connection with Partner Services and must comply with applicable data protection and privacy laws. Except to the extent required by applicable law, GoKoach is not responsible for a Partner’s independent handling or use of such personal data.

To the fullest extent permitted by applicable law, the GoKoach Platform and Services are provided on an ‘as is’ and ‘as available’ basis. GoKoach disclaims all representations, warranties and conditions, whether express, implied or statutory, except to the extent that they cannot lawfully be excluded.

Without limiting the foregoing, GoKoach makes no representations or warranties (express or implied) regarding:

Independent Partners. Partners independently provide and control their Partner Services. GoKoach does not organise, operate, supervise, direct or control the manner in which a Partner performs a Partner Service. Any review, verification, screening, approval or other check undertaken by GoKoach does not constitute endorsement, certification or a guarantee and does not transfer responsibility for the Partner or Partner Service to GoKoach.

Activities, Events & In-Person Services. Where a Partner Service involves an Activity, Event, physical participation, venue, equipment or in-person interaction, the relevant Partner is responsible for the operation and delivery of that Partner Service, including applicable safety measures, venue arrangements, equipment, staffing, licences, permits and insurance. GoKoach does not own, operate or control third-party venues, equipment or Partner-run Activities or Events and does not guarantee their condition, safety or suitability. Buyers are responsible for reviewing and complying with any eligibility, age, health, fitness, safety or participation requirements disclosed or otherwise applicable to the relevant Partner Service.

Coaching, Advisory and Professional Services. Coaching, mentoring, advisory, Fractional Executive and similar Partner Services are provided by independent Partners and not by GoKoach. Information, recommendations, opinions or advice provided by a Partner are the Partner’s own. GoKoach does not provide legal, financial, tax, medical, mental-health or other regulated professional advice and does not guarantee any particular business, employment, financial, personal or other outcome arising from a Partner Service.

Assumption of Risk. Subject to applicable law, Buyers acknowledge that participation in Partner Services may involve risks inherent in the relevant service or activity and are responsible for determining whether a Partner Service is appropriate for them and any person for whom they make a Booking.

Mandatory Rights. Nothing in this clause excludes or restricts any liability or right that cannot lawfully be excluded or restricted.

Partner Services and Third Parties. To the maximum extent permitted by applicable law, GoKoach is not liable for any loss, damage, injury, claim or liability arising from or relating to the acts, omissions, conduct or Partner Services of any Partner, Buyer, venue operator or other third party, including any failure, cancellation, non-delivery, advice, content, activity, event or other service provided by them.

Excluded Losses. To the maximum extent permitted by applicable law, GoKoach will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profits, revenue, income, business, opportunity, goodwill, anticipated savings or data, whether arising in contract, tort (including negligence), statute or otherwise, even if such loss was foreseeable.

Liability Cap. To the maximum extent permitted under Singapore law, GoKoach’s total aggregate liability arising out of or relating to the GoKoach Platform, the Services or these Terms will not exceed the lower of:

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

General Indemnity. To the maximum extent permitted by law, you will indemnify, defend, and hold harmless GoKoach, its affiliates, and each of their respective officers, directors, employees, contractors and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Partner Indemnity. If you are a Partner, you will additionally indemnify and hold harmless the persons referred to in clause 14.1 from and against any claims, liabilities, damages, losses, costs and expenses arising out of or relating to:

Defence and Cooperation. GoKoach may assume control of the defence or settlement of any matter subject to indemnification under this clause, and the indemnifying party must provide reasonable cooperation. The indemnifying party must not settle any claim in a manner that imposes liability, obligations or admissions on GoKoach without GoKoach’s prior written consent.

Platform support role. You acknowledge that disputes regarding Partner Services are primarily between the Buyer and the relevant Partner. GoKoach may, but is not obligated to, provide tools or support to facilitate communication or resolution.

GoKoach actions. Buyer requests for refunds, credits or other Platform remedies are subject to the Buyer Dispute Window in clause 8.10. GoKoach may nevertheless investigate any Platform-related complaint, including suspected fraud, circumvention or breach of these Terms, and may take any action it considers appropriate, including issuing credits, facilitating refunds, withholding or adjusting payouts, suspending accounts or taking no action.

Platform Determinations. GoKoach may, in its discretion, determine any matter relating to Platform administration, payments, payouts, refunds, credits or enforcement of these Terms. Any such determination is made for Platform purposes only and does not constitute a determination of the underlying legal rights or liabilities between a Buyer and Partner.

Partner Terms. GoKoach may override any Partner policy, listing term or other Partner-specific term to the extent necessary to enforce these Terms, administer a Platform transaction or protect the integrity of the GoKoach Platform.

No waiver of rights. Any action or decision taken by GoKoach under this clause does not waive any right or remedy available to GoKoach or any other party.

GoKoach Actions. GoKoach may restrict, suspend or terminate any account, listing, Partner Service, Booking, Platform feature or payout where it reasonably considers this appropriate, including for suspected breach, fraud, circumvention, safety, regulatory, payment, security, service-performance or Platform-integrity concerns. Upon termination, your right to access and use the GoKoach Platform will cease immediately.

Existing Obligations. Suspension, termination, deactivation or removal of a listing does not cancel or discharge any Confirmed Booking, payment, refund, chargeback, payout adjustment, recovery or other obligation arising before that action. Partners remain responsible for existing Confirmed Bookings, subject to the applicable cancellation, refund and payout provisions of these Terms.

Survival and Payouts. Any Partner payout remains subject to the applicable delivery, verification, Buyer Dispute Window, deductions, set-off and payout requirements notwithstanding suspension, termination or deactivation. Provisions which by their nature should survive termination will continue to apply.

These Terms and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them are governed by and construed in accordance with the laws of Singapore. The courts of Singapore shall have exclusive jurisdiction to settle any such dispute or claim.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

Assignment. You may not assign or transfer these Terms without GoKoach’s prior written consent. GoKoach may assign, transfer, or delegate these Terms and its rights and obligations without prior notice.

Language. These Terms are drafted in English. Any translation to other languages is for reference only. If there is any inconsistency, the English version prevails.

Entire Agreement. These Terms (together with documents incorporated by reference) constitute the entire agreement between you and GoKoach regarding your use of the GoKoach Platform and Services.

No waiver. Any failure by GoKoach to enforce any right or provision will not constitute a waiver.

Relationship. Nothing in these Terms creates any partnership, joint venture, employment, fiduciary or agency relationship between GoKoach and any Buyer or Partner. No Buyer or Partner has authority to bind GoKoach or incur any obligation on GoKoach’s behalf.

Notices and Electronic Communications. GoKoach may provide notices or other communications under these Terms through the GoKoach Platform, to the email address associated with your account, or by another reasonable electronic method. You are responsible for keeping your contact information current. Unless applicable law requires otherwise, such communications will be treated as given when sent or made available through the Platform.

Platform Records. Subject to applicable law, GoKoach may rely on its Platform records, including account activity, listings, Booking confirmations, timestamps, payment records, QR codes, PINs, check-in records and Platform communications, as evidence of transactions, activity and delivery through the GoKoach Platform, except where there is a manifest error.

This Schedule applies to any event, workshop, class, gathering or similar offering made available as an Event through the GoKoach Platform (an “Event”), to the Partner creating, organising or hosting it (the “Event Host”), and to any Buyer who makes a Booking for or participates in that Event.

The Event Host, and not GoKoach, is the organiser and provider of the Event and is responsible for its operation, delivery, safety and compliance with applicable law. The underlying Event relationship is between the Event Host and Buyer.

Events may be published without prior GoKoach review. Publication does not constitute approval, verification or endorsement. GoKoach may review, edit, restrict, suspend, remove or reclassify any Event where it reasonably considers this appropriate.

Event Hosts must keep all material Event information accurate and current, including the date, time, venue, price, capacity, eligibility, age restrictions, inclusions, accessibility information and other Event conditions.

The Event Host is responsible for ticket capacity and availability, including any overselling arising from external sales or failure to update inventory. GoKoach may cancel affected Bookings, issue refunds or credits and adjust or withhold corresponding payouts.

Once a ticket has been sold, the Event date and time must not be changed. A venue may be changed, but the Event Host must promptly notify affected Buyers.

Event tickets are for the Event date and time stated in the Booking and are non-refundable and non-reschedulable by the Buyer except where GoKoach determines otherwise or applicable law requires.

One Booking may cover multiple attendees and may be issued with a single QR code, PIN or other attendance credential for that Booking.

Ticket transfers are not administered by GoKoach. A Buyer may request an Event Host to accommodate a transfer, but any such accommodation is at the Event Host’s discretion.

A Buyer who does not attend or arrives too late to participate is ordinarily not entitled to a refund.

If an Event Host cancels an Event, fails to provide it, does not attend or otherwise causes the Event not to occur, the Event Host is not entitled to payout for affected Bookings.

GoKoach may cancel affected Bookings and issue refunds or other remedies in accordance with the General Terms. GoKoach Fees remain non-refundable unless GoKoach determines otherwise.

Where GoKoach determines that an Event Host is responsible for cancellation or material non-delivery, GoKoach may require the Event Host to reimburse amounts reasonably necessary to enable GoKoach to provide affected Buyers with a fuller refund, including otherwise non-refundable GoKoach Fees or third-party payment costs.

Cancellation of an Event with existing Bookings may result in temporary restrictions on the Event Host’s ability to publish or accept Bookings for further Events.

GoKoach may use QR codes, PINs, check-in records, Buyer complaints and other information available to it when assessing whether an Event occurred.

Complete attendee check-in is not required for an Event to be treated as delivered. After expiry of the applicable 7-day Buyer Dispute Window, GoKoach may treat an Event as completed where there is no material indication of cancellation, non-delivery, fraud or other relevant risk.

GoKoach may withhold or suspend all or part of an Event payout where there are material complaints, suspected cancellation or non-delivery, fraud, chargebacks or other payment or Platform risk. Event payouts remain subject to the monthly payout cycle and the General Terms.

GoKoach may provide Platform remedies for objectively verifiable matters such as Event cancellation, Event Host non-attendance, an inaccessible or non-existent venue, denial of a valid ticket, fraud or material misrepresentation. GoKoach is not required to determine subjective complaints concerning Event quality, speakers, content, food, networking, enjoyment or value.

The Event Host is solely responsible for obtaining and maintaining all licences, permits, approvals, insurance, venue permissions, waivers, intellectual-property or public-performance rights and other requirements applicable to the Event.

Where relevant, this responsibility includes requirements relating to food, alcohol, minors, performers, speakers, equipment, physical activities and health or safety.

Event Hosts are responsible for their own taxes, GST, reporting obligations and the tax treatment of ticket sales. Prices submitted by the Event Host must include taxes for which the Event Host is responsible unless GoKoach expressly permits otherwise.

GoKoach may provide an Event Host with attendee contact, Booking and attendance information reasonably required to administer the Event.

The Event Host may use such information for Event administration and communications. Any marketing or other unrelated use is the Event Host’s responsibility and requires any consent or other legal basis required by applicable law.

Free Events may use any registration, ticketing or attendance-verification functionality made available by GoKoach. Unless otherwise stated, provisions relating solely to payment and Partner payout do not apply to a Free Event.

Any mandatory charge payable separately from a Free Event Booking must be clearly disclosed by the Event Host and must comply with the General Terms, including GoKoach’s payment and non-circumvention requirements.
